Company formation in Bosnia: open, register or establish your company

A d.o.o. (limited liability company) registered in Sarajevo, fully owned by you, without travelling to Bosnia. Fixed fee from €2,490 including state and notary fees.

The essentials

What a Bosnian d.o.o. is

The d.o.o. is the Bosnian limited liability company, comparable to a German GmbH or a Hungarian Kft. It is the structure we recommend to nearly every foreign founder: liability is limited to the company’s assets, a single founder is enough, and foreign ownership can be 100%. The rules are set out in the Law on Business Companies of the Federation of BiH — the d.o.o. in Articles 302 and following, the minimum capital of BAM 1,000 in Article 307.

The company is registered at the municipal court in Sarajevo, receives a unique tax ID (ID/PIB), a statistics number and a company stamp, and opens a corporate account with a Bosnian bank. From then on it can trade in Bosnia, across the region and internationally. Once registered, the company can be found by anyone in the public Business Register of Bosnia and Herzegovina.

FAQ

Company formation questions

Detailed answers

Which company form should a foreigner choose?

For almost all foreign founders the d.o.o. (društvo s ograničenom odgovornošću), equivalent to a GmbH or LLC. Liability is limited to the share capital, one founder is enough and the minimum capital is BAM 1,000. A branch of a foreign company is an alternative if you already operate abroad.

Federation of BiH or Republika Srpska?

Bosnia has two entities with separate company registers. We register companies in Sarajevo, in the Federation of BiH. A Federation company can do business throughout Bosnia and Herzegovina and abroad.

Can I be the director myself?

Yes. The founder can also be the director, and the director does not need to live in Bosnia. A foreign director who will work in Bosnia needs a work permit; a director managing from abroad does not.

What activity can the company register?

Most commercial activities, coded by the national classification (KD BiH). We pick the main activity code with you. Regulated activities — finance, healthcare, security and similar — need additional licences, which we identify in the quote.

When can the company start invoicing?

Once the court registration, tax ID and bank account are in place, typically 25–30 business days after we receive your documents.
