Minimum share capital for a company in Bosnia

How much capital you need to open a d.o.o. or d.d. in Bosnia and Herzegovina, when it is paid, and what happens to the money afterwards.

The short answer: BAM 1,000 (about €511) for a limited liability company (d.o.o.) in the Federation of Bosnia and Herzegovina. That is the form almost every foreign founder uses. A joint-stock company (d.d.) needs BAM 50,000.

The Bosnian convertible mark (BAM, also written KM) is pegged to the euro at a fixed rate: €1 = BAM 1.95583.

Each individual contribution to a d.o.o. must be at least BAM 100 (Art. 307(2)).

When and how the capital is paid

  1. The founding act states the amount and each founder’s share.
  2. Before registration, the capital is paid into a temporary account at a Bosnian bank in the name of the company in formation.
  3. The bank issues a confirmation, which is filed with the court together with the registration application.
  4. Once the company is registered, the temporary account becomes, or is transferred to, the company’s regular account.

Capital can also be contributed in kind — equipment or property, for example — but that requires a valuation and makes formation slower. For a new company, cash is simpler.

The capital is not a fee

This is the point founders most often misunderstand. The BAM 1,000 is not paid to the state. It remains the company’s money and can be used for business expenses — rent, equipment, salaries — as soon as the company is registered.

Should you pay in more than the minimum?

Sometimes yes. A higher capital can help when:

  • opening the bank account — banks look more favourably at a company with working capital;
  • winning contracts — clients and suppliers can see the registered capital in the public register;
  • work and residence permits — authorities assess whether the company can actually employ the foreigner.

For a holding or consulting company with no employees, the minimum is usually enough.

Can capital be increased later?

Yes. A capital increase is decided by the members, certified by a notary and registered with the court. We handle it as part of corporate administration.
